1. Definitions

2. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, ArystoTech Software & AI Systems Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on computers you own or control;
• Use the Software for personal, business, or commercial purposes within the feature limits of your licensed tier;
• Make one (1) archival backup copy of the Software installer, provided the backup is not transferred to any third party.

Free Tier: Licensed for indefinite personal and commercial use subject to its built-in feature restrictions (maximum of 3 concurrent API monitors). No payment is required.

Pro License: Permits one (1) named individual to install and use the full-featured Software on up to two (2) personally owned or controlled computers simultaneously.

Enterprise License: Permits up to ten (10) concurrent installations within a single organizational entity (e.g., a company, department, or managed service environment).

3. Restrictions

You may not, under any circumstances:

• Copy, distribute, sublicense, sell, resell, rent, lease, lend, or transfer the Software or your license rights to any third party;
• Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code of the Software or its licensing mechanisms;
• Modify, adapt, translate, or create derivative works based on the Software;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software;
• Circumvent, disable, or tamper with any license enforcement, activation, or feature-gating mechanism;
• Use the Free Tier in a manner intended to replicate or substitute for Pro or Enterprise functionality without a valid license;
• Use the Software to engage in any illegal activity, including unauthorized access to computer systems, networks, or data;
• Use the Software as part of any malicious, fraudulent, or harmful automation scheme targeting third parties without their knowledge or consent;
• Use the Software to send unauthorized, unsolicited, or malicious HTTP requests to APIs, endpoints, or services you do not own or have explicit permission to access;
• Use the Software to conduct denial-of-service (DoS) testing, brute-force attacks, fuzzing, or any security-offensive activity against third-party systems without written authorization;
• Transmit malicious payloads, injection attacks, or harmful data through API requests configured in the Software;
• Misrepresent the origin of the Software or claim to be the developer or licensor.

4. Intellectual Property

The Software, including all source code, object code, algorithms, designs, user interfaces, documentation, and related materials, is the exclusive intellectual property of ArystoTech Software & AI Systems Ltd. and is protected by applicable copyright laws and international treaties.

This Agreement does not transfer or assign any ownership rights to you. You acquire only the limited right to use the Software as expressly set out in Section 2.

All trademarks, service marks, product names, and logos associated with the Software are the property of ArystoTech Software & AI Systems Ltd.. Nothing in this Agreement grants you any rights to use these marks.

5. Installation and Activation

The Software is distributed as a Windows installer package (.exe or .msi). Installation requires you to accept this Agreement through the installer's EULA acceptance screen. Proceeding past that screen constitutes your binding acceptance of this Agreement.

Pro and Enterprise licenses are activated using a license key provided by ArystoTech Software & AI Systems Ltd. following purchase. The activation mechanism is fully offline — no internet connection is required after the license key is entered.

License keys are non-transferable and may not be shared, posted publicly, or distributed. ArystoTech Software & AI Systems Ltd. reserves the right to deactivate keys found to be used in violation of this Agreement.

6. Updates and Maintenance

ArystoTech Software & AI Systems Ltd. may, at its discretion, release updates, patches, or new versions of the Software. Updates are not guaranteed and are not included in the base license fee unless an active Maintenance & Support subscription is in place.

Maintenance & Support (Optional): An optional annual subscription ($49 USD/year) entitles you to priority email support and free minor version upgrades (e.g., v1.x to v1.y) released during the subscription year. Major version upgrades (e.g., v1.x to v2.0) may be offered at a discounted upgrade price.

ArystoTech Software & AI Systems Ltd. reserves the right to alter the feature set of any tier in future versions, provided existing purchased features are not materially degraded without reasonable notice.

7. Privacy and Data

The Software operates entirely on your local machine. It does not transmit personal data, usage statistics, or configuration data to ArystoTech Software & AI Systems Ltd. or any third party. License activation is performed offline using cryptographic key verification — no personal data is transmitted during activation.

You are solely responsible for the security of any API credentials, authentication tokens, or endpoint data configured within the Software. ArystoTech Software & AI Systems Ltd. has no access to this information and bears no responsibility for its security or misuse.

8. Disclaimer of Warranties

Without limiting the foregoing, ArystoTech Software & AI Systems Ltd. does not warrant that:

• The Software will meet your specific requirements or expectations;
• The Software will operate without interruption, error, or defect;
• Errors or defects will be corrected;
• The Software is free from viruses or other harmful components — you are responsible for maintaining appropriate security measures on your systems;
• API monitoring results will be accurate, timely, or complete — network conditions, third-party API availability, and configuration errors may affect results;
• Latency measurements and historical metrics will be complete or uninterrupted.

9. Limitation of Liability

Total Liability Cap: In all cases, the total cumulative liability of ArystoTech Software & AI Systems Ltd. shall not exceed the greater of: (a) the amount you paid for the Software license in the twelve (12) months immediately preceding the claim; or (b) USD $10.00 if the Software was obtained under the Free Tier.

Note: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless ArystoTech Software & AI Systems Ltd. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

1. Your use or misuse of the Software;
2. Your violation of this Agreement;
3. Your violation of any applicable law, regulation, or third-party rights;
4. Any automation, scheduling, backup, or API task you configure or execute using the Software;
5. Any damage caused to third-party systems, data, or services as a result of automated tasks you have created within the Software.

11. Termination

ArystoTech Software & AI Systems Ltd. may terminate this Agreement immediately, without notice, if you breach any material term of this Agreement, circumvent or attempt to circumvent the licensing or activation mechanisms, or use the Software in a manner that violates applicable law or causes harm to third parties.

You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession.

Effect of Termination: Upon termination, all rights granted to you immediately cease. Sections 4, 8, 9, 10, 12, and 14 survive termination.

Refunds: ArystoTech Software & AI Systems Ltd. does not offer refunds on digital software purchases once a license key has been issued and activated, except where required by applicable consumer protection laws.

12. Acceptable Use and Compliance

You are solely responsible for the configuration, operation, and outcomes of all tasks, schedules, jobs, and automated processes you create using the Software. You must ensure that your use complies with all applicable local, national, and international laws and regulations, including:

• Data protection and privacy laws (e.g., GDPR, PIPEDA, CCPA, and equivalents);
• Computer fraud and unauthorized access laws;
• Export control and trade compliance laws;
• Applicable terms of service of any third-party systems, APIs, or services you interact with through the Software.

ArystoTech Software & AI Systems Ltd. expressly disclaims all liability for consequences arising from your use of the Software in violation of applicable law or third-party terms.

13. Export Compliance

The Software may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Software to any country, individual, or entity in violation of applicable export control laws, including those of the country in which you are located.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which ArystoTech Software & AI Systems Ltd. is incorporated, without regard to conflict of law principles.

Any dispute arising out of or in connection with this Agreement shall first be subject to good-faith negotiation between the parties. If not resolved within thirty (30) days, the dispute shall be referred to binding arbitration under the rules of a recognized arbitration body, unless otherwise required by applicable consumer protection law.

Nothing in this Section limits either party's right to seek urgent injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

15. General Provisions

Entire Agreement: This Agreement constitutes the entire agreement between you and ArystoTech Software & AI Systems Ltd. with respect to the Software and supersedes all prior agreements, representations, and understandings.

Amendments: ArystoTech Software & AI Systems Ltd. reserves the right to modify this Agreement at any time. Updated versions will be made available on the ArystoTech website and will apply to future versions of the Software. Continued use after notification constitutes acceptance.

Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure by ArystoTech Software & AI Systems Ltd. to enforce any provision shall not constitute a waiver of its right to enforce that provision in the future.

No Third-Party Beneficiaries: This Agreement does not create any third-party beneficiary rights.
